Public Offer Desow

This English version is a translation of the Russian version of this document. In the event of any discrepancy between the English and Russian versions, the Russian version shall prevail.

1 General Provisions

1.1. Desow LLC (Limited Liability Company «Дезау») (the "Company") offers adult individuals, sole proprietors, and legal entities (the "User") an agreement for the paid use of Desow. An organization acts through an authorized representative in accordance with the Terms.

1.2. Payment for a selected Subscription or Package after reviewing the Offer constitutes its acceptance and the conclusion of an agreement in respect of that purchase. An account at online.desow.ru is required to use the Service.

1.3. The Offer, together with Appendices 1 and 2, governs purchases, payments, and settlements. The Terms at desow.ru/en/terms govern the use of the Service and rights to materials; the Policy at desow.ru/en/policy governs the processing of personal data. The Terms apply to paid use to the extent they do not contradict the Offer. The purchase terms fixed before payment determine its price, functions, limits, and periods; they do not limit the User's mandatory rights. Any necessary consents are obtained separately.

2 Subject of the Agreement

2.1. The Company gives the User access to the functions of Desow for generating and processing interior images and performs confirmed tasks. A Subscription provides access for the paid term and Plan Credits; a Package provides additional Credits without upgrading the Plan. The available tools and task parameters are indicated in the interface.

2.2. A Credit is a whole internal unit for accounting the cost of operations in the Service. It is not money and is not used for settlements outside Desow. The Plan determines the functions, restrictions, and the amount of Plan Credits.

2.3. Before payment, the following are shown: the full price including discounts and applicable taxes, functions, limits, Credit validity periods, operation rates, and renewal terms. This information is fixed for the purchase and forms part of the agreement. Plans are posted at desow.ru/en/pricing. Changes to rates are governed by clause 10.2.

3 Subscriptions, Packages, and Free Credits

3.1. A monthly Subscription is valid for 30 calendar days, and an annual Subscription for 12 calendar months under Appendix 2. Plan Credits are granted at the start of each crediting period and are valid until it ends, with no carryover of the remaining balance.

3.2. A Package is paid for once. Its Credits are valid for 90 calendar days from crediting, regardless of when the Subscription ends. A new Package does not extend the validity period of previously credited Credits.

3.3. Plan, Package, and free credits are recorded separately. The balance and validity periods are available in the Personal Account; dates and times are given in Moscow time. On the FREE plan, valid Credits can be spent only on the functions available to it.

3.4. The terms for welcome Credits, promotions, and promo codes are set out in Appendix No. 2 to this Offer.

4 Subscription Term and Auto-Renewal

4.1. A Subscription is activated after payment is confirmed, the paid functions are opened, and the Credits are granted. The term begins upon activation. When the same Plan is renewed, the next period begins after the current one, even if it was paid for in advance. Prepayment for a future period does not change the current Plan; its terms and start are fixed at the time of payment.

4.2. If a renewal is not paid for, the FREE plan applies upon expiry of the term. Valid Package and free Credits are retained until their expiry dates. A new Subscription begins upon activation, without payment for the interval during which there was no paid access.

4.3. Auto-renewal is enabled by a separate confirmation of the amount, frequency, date, and schedule of charges. For a monthly Subscription, the price of the next 30 days is charged; for an annual Subscription, the full price of the following year. At least 3 calendar days in advance, the Company sends a notice of the amount, the date, and the way to decline the renewal and the use of saved payment details.

4.4. The User can decline auto-renewal and further use of saved payment details in the Personal Account and via support@desow.ru. Upon receipt of the refusal, the Company stops any new recurring charges to those payment details, including repeat attempts.

4.5. Turning off auto-renewal preserves access until the end of the paid term and does not by itself trigger a refund. Section 7 applies to early withdrawal.

4.6. An unsuccessful payment does not create a debt and does not extend the Subscription. Repeat attempts are allowed within the schedule shown and accepted when auto-payments were enabled; if there is no such schedule, a new confirmation is required.

5 Debiting and Restoring Credits

5.1. Before a task is launched, its cost in whole credits is shown. If the balance is insufficient, the generation task is not launched. The cost of a generation task that has already been confirmed does not change.

5.2. Credits with the nearest expiry date are spent first. If the expiry date is the same, previously credited Credits are spent first; if both criteria match, Plan Credits are spent first, then Package, welcome, and promotional Credits.

5.3. For results that were not received for technical reasons, the debited Credits are restored in full or in the part corresponding to the cost of the results not received. The procedure for restoration, its timing, and repeat tasks is set out in Section 4 of the Terms.

6 Cost and Payment

6.1. Payment is made in rubles through Robokassa or another payment service indicated on the payment page.

6.2. Package Credits are granted after payment is confirmed. If crediting or activation of a Subscription is delayed, the User has the right to request performance of the purchase or to make a lawful claim for a refund.

6.3. Full card details are entered on the payment service's page and are not stored by the Company. A cash receipt is provided in the manner established by the applicable legislation of the Russian Federation. To obtain documents, organizations and sole proprietors provide their details to support@desow.ru.

6.4. The terms for upgrading a monthly Plan with credit for the previous payment, the restrictions on changing an annual Subscription, and the switch to FREE are set out in Appendix No. 1 to this Offer.

7 Refunds

7.1. No additional voluntary refund program is provided. Non-use, a remaining Credit balance, and turning off auto-renewal do not by themselves trigger a refund. Statutory rights to early withdrawal and mandatory refunds are preserved.

7.2. A consumer has the right to withdraw from a services agreement at any time, subject to the Company's actual expenses under the specific agreement as provided by law. Activating a Subscription and granting Credits do not by themselves mean performance for the entire future term. In the event of missed deadlines or defects in performance, statutory claims are preserved. A refund is calculated based on the grounds of the request and the actual performance; the upgrade formula does not apply to it.

7.3. An erroneous or duplicate charge that does not correspond to a separate confirmed purchase is refunded in full. A refund for one purchase does not by itself terminate other purchases.

7.4. Restoration of Credits under Section 4 of the Terms does not replace a monetary refund where one is mandatory by law. Free Credits are not exchangeable for money.

7.5. A statement of withdrawal or a refund request is sent to support@desow.ru with the account, the known details of the purchase, and the substance of the claim. Upon withdrawal, future crediting and renewals of the relevant Subscription stop; the paid balance is fixed for the calculation, and Credits refunded by value are cancelled. Withdrawal from a Package does not terminate another purchase. The consequences of deleting an account are defined in clause 6.16 of the Terms. A mandatory refund does not depend on consent to the deletion of the account; a partial refund does not by itself delete it.

7.6. The Company substantiates and confirms any deductions permitted by law under the specific agreement. Additional penalties for withdrawal and a predetermined deduction for acquiring are not applied. The payment service's fee does not by itself allow refusal of a mandatory refund.

7.7. The response and the refund are provided within the periods established by law for the relevant claim. Money is returned to the original payment method, or, if that is impossible, in a lawful manner agreed with the payer. Consumer guarantees apply to purchases for personal needs not related to business activity; settlements with other Users are governed by the Offer and the applicable norms of civil legislation.

8 Liability and Access Restrictions

8.1. The result of artificial intelligence work may differ from the User's subjective expectations. The Company does not guarantee the uniqueness of a result or any specific artistic effect. This does not release it from performing the paid-for terms or from liability established by law.

8.2. The Company has the right to carry out maintenance and to modify the Service in compliance with Section 10. In the event of a violation of the Terms or a security threat, access may be restricted to the extent necessary. The User may appeal a restriction via support@desow.ru. An appeal is reviewed within 30 calendar days of receipt; mandatory shorter periods established by law for individual claims take precedence.

8.3. A block does not by itself cancel the paid balance. In the event of an error, the Company restores access and the credits that expired because of the block, and extends the affected paid term and the Credit validity periods by the duration of the restriction. After the original expiry date, restored Credits are valid for at least 7 calendar days. In an annual Subscription, subsequent crediting and the end date shift by the duration of the erroneous restriction. Upon termination of the agreement, Section 7 applies.

8.4. The parties bear liability under the legislation of the Russian Federation. Release from liability in cases of force majeure is permitted in the cases provided by law.

9 Materials and Personal Data

9.1. The rights to the Service belong to the Company or are used by it on a lawful basis. Commercial use of results is permitted for works created on the paid BASIC plan or higher, under the terms of the Terms of Use of the Service.

9.2. Rights to source files and results, publication in the Feed, promotional use, and training are determined by Section 6 of the Terms. The processing of personal data is governed by the Policy; a license to an image does not replace the necessary consents.

10 Term and Amendment of Terms

10.1. The agreement is effective from payment until the obligations under the purchase are performed. The User has the right to turn off renewal or to withdraw from the purchase under Section 7; this also applies to a separately paid future period.

10.2. New versions are published at desow.ru with an effective date; material changes, at least 10 calendar days in advance. New prices for Subscriptions and Packages apply to new purchases and renewals; an increase in an auto-payment requires a new confirmation. The Company may change the rates in Credits for future tasks by giving notice in the Personal Account at least 10 calendar days in advance. The new cost of each task is shown and confirmed before it is launched. Confirmed tasks and the volumes of performance fixed at the time of purchase do not change. If the new rates change the terms of a paid purchase previously agreed with a consumer, the consumer's separate consent is required; without it, those terms are preserved. In the event of a material deterioration of the paid-for capabilities, the User has the right to withdraw from the affected purchase, with settlement under Section 7. Other paid-for terms are preserved. Changes do not limit mandatory rights and do not expand licenses or consents; individual notices of other updates are sent when required by law.

10.3. The Offer applies during the open beta testing period. Its completion does not terminate paid-for obligations and does not change the validity periods of credits already granted.

10.4. An account is deleted under clause 6.16 of the Terms, with settlement under Section 7. The termination of storage and processing of materials is determined by the Terms and the Policy.

11 Requests and Disputes

11.1. Requests are accepted at support@desow.ru or at the Company's registered address. For verification, state the account, the substance of the request, and the known details of the purchase or task. The general procedure for responses is set out in clause 9.2 of the Terms; mandatory deadlines for refunds and other claims take precedence.

11.2. Disputes are resolved under the legislation of the Russian Federation. Contacting support does not limit the User's right to judicial protection.

Appendix 1 Plan Change

T1. An early upgrade is available only from a current monthly Plan to a higher monthly Plan, in the order of Plans shown before payment. A new 30-day term begins with the full new limit. Surcharge = Pnew − Cr, where Pnew is the price of the new Plan after discounts and Cr is the credit under T2, not exceeding Pnew. Any excess credit is not paid out and is not carried over; the surcharge amount and the credits that will be terminated are shown before confirmation.

T2. Calculated credit = U × (P / L) × (D / 30), where U is the unused Plan Credits of the current period; P is its price after discounts, including the surcharge and credit from a previous upgrade; L is the full credited limit; D is the remaining term in days, accurate to the second. Intermediate values are not rounded; the result is rounded to kopecks. The Cr applied equals the lesser of the calculated credit and Pnew. Package and free Credits do not participate. The credit is used only for an upgrade and is not a monetary refund.

T3. After an upgrade, the previous period ends and its unused Plan Credits are cancelled. Package and free credits are preserved. If tasks are being processed or a future period was paid for separately, an upgrade is available after they are completed or settled under Section 7; one crediting is not counted twice.

T4. Early change of an annual Plan, a switch from it to a monthly one, and credit for annual payment are not offered. A switch from a monthly Subscription to an annual one is available after the monthly one ends, as a new purchase. Until then, the paid functions and credits are preserved. These restrictions do not prevent withdrawal and settlement under Section 7.

T5. A downgrade of a current paid Plan, including a deferred one, is not offered. You can turn off renewal and use the Plan until the end of the term; if the next period is not paid for, FREE applies. After that, you can buy any available Plan without credit for the previous payment. Switching to FREE does not delete projects and publications.

Appendix 2 Annual Payment and Promotions

A1. An annual Subscription is paid in advance for 12 calendar months. The annual price equals 12 monthly prices of the relevant Plan on the date of purchase, less 20%, unless a promotion offers a better price. Before payment for the Subscription, the full annual amount is shown.

A2. An annual Subscription provides for 12 creditings of credits: the first upon activation, the following ones on the same date of each calendar month. If there is no such date in a month, the last day of the month is used; subsequent dates are calculated from the original activation date. Each crediting is valid until the next one, and the last one until the end of the year. The annual credits are not all issued in advance. The exact dates are available before purchase and in the Personal Account.

A3. Upon first registration, a new User is granted 40 welcome credits once, valid for 30 calendar days. Re-registration does not entitle the User to a new bonus. In the event of confirmed abuse, the Company has the right to cancel any free credits obtained unlawfully.

A4. The terms of a promotion define the participants, the activation period, the discount or bonus, the credit validity period, and the restrictions. A promo code is applied before payment. Unless compatibility is expressly provided for, discounts and promo codes are not combined.

A5. The paid part of a Package and the free bonus are recorded separately. A promo code does not extend other credits; the expiry of its activation period does not shorten the validity period of credits already issued. The terms of a credit already received are preserved, except for correcting an unlawful receipt of credits.
